“Certificate of MS Limited PartnershipF0004 Step 1”

Provide the name of the limited partnership in section 1. Make sure the name is 60 characters or less and contains one of the following designations: Limited Partnership or L.P.

“Certificate of MS Limited PartnershipF0004 Step 2”

This form becomes effective upon the date filed under the Secretary of State. If a future effective date is desirable, provide a date in section 2. If there is a projected date of dissolution, provide this date in section 3 as well. Leave the box blank otherwise.

Provide the 9 digit Federal Tax ID number in section 4 for the limited partnership.

Provide the office address where the limited partnerships records are kept in section 5. Do not exceed 45 characters for the address. Then, state the name and address of the registered agent and registered office in section 6. Limit the name to 40 characters and the address to 45 characters.

Include the name, physical address, and mail address of the partners in section 7 and on. If additional space is needed for more information on members or other provisions, attach a separate sheet.

Each general partner needs to include their signature, printed name, and title at the bottom of this form.
