INSTRUCTIONS: VIRGINIA STATEMENT OF PARTNERSHIP AUTHORITY (Form UPA-93)

To form a business partnership in Virginia, you must submit an application known as a statement of partnership authority. Formally known as form UPA-93, it is available on the website of the Virginia State Corporation Commission. This document can be submitted but does not constitute the formation of a partnership by itself. You must print or type this document when filling it out.

Virginia Statement of Partnership Authority UPA-93 Step 1: Question one requires you to give the name of the partnership.

Virginia Statement of Partnership Authority UPA-93 Step 2: Question two requires you to enter the state or jurisdiction under whose laws the partnership is being formed.

Virginia Statement of Partnership Authority UPA-93 Step 3: Only check the box next to question three if this partnership previously was authorized or registered by the State Corporation Commission to perform business in the state as a different type of foreign business entity. If so, you must attach a sheet detailing this previous incarnation's name, entity type, state or other jurisdiction where incorporation occurred, and the identification number previously issued by the State Corporation Commission.

Virginia Statement of Partnership Authority UPA-93 Step 4: Give the address of your principal office, if applicable, in response to question four.

Virginia Statement of Partnership Authority UPA-93 Step 5: In response to question five, give the address of the partnership.

Virginia Statement of Partnership Authority UPA-93 Step 6: Question six asks for the names and mailing addresses of all partners, or the name and address of an agent tasked with maintaining a list of all partners.

Virginia Statement of Partnership Authority UPA-93 Step 7: Question seven asks for the names of partners who have the authority to execute instruments concerning the transfer of real property.

Virginia Statement of Partnership Authority UPA-93 Step 8: Question eight is optional for those who wish to detail the authority or limitations placed thereupon of partners.

Virginia Statement of Partnership Authority UPA-93 Step 9: At least two partners must sign and date the form.

Virginia Statement of Partnership Authority UPA-93 Step 10: Submit the original copy of this document to the offices of the Clerk of the State Corporation Commission. Include a check for $25 for the filing fee. Do not send cash.
