INSTRUCTIONS: ARTICLES OF INCORPORATION (CORPORATION)

Use this article register a corporation in the state of South Carolina. You need to consult with an attorney while completing this form.

“Articles of Incorporation (Corporation) Step 1”

Provide the name of the proposed corporation in Article 1 of this form. If you’ve reserved the name, make sure the name appears exactly as formerly requested. Make sure the name has one of the following designations: corporation, incorporate, company, limited, corp., inc., co., or ltd.

“Articles of Incorporation (Corporation) Step 2”

State the street address for the initial registered office in Article 2. Provide the name of the registered agent on the appropriate line, and make sure the registered agent signs the last line of Article 2.

Check the appropriate box in Article 3. If there is only one class of share, check box (a) and list the total number of authorized shares on the line provided. If there is more than one class, check box (b) and provide the class of shares and authorized numbers of shares within each class on the lines provided.

If you checked box (b), state the rights, preferences, and limitations of each type of share in the space provided. If more space is needed, attach a separate sheet.

If the incorporators want to delay the effective date, provide a date on the line in Article 4. If there are any other provisions, provide the terms in Article 5 and attach a separate sheet within corresponding Article numbers if necessary.

Each incorporator needs to provide their name, address, and signature in Article 6. If additional space is needed, provide a separate sheet.

The attorney needs to list their name and signature in Article 7. The attorney’s signatures verifies that the Articles and complete and correct.

The filing fee for this form is $135.00. Make the check payable to Secretary of State. Make a copy of completed Articles and send both sets of forms. Make sure you include the First Report to Corporations CL-1 form with these Articles as well.
