INSTRUCTIONS: PA CERTIFICATE OF ORGANIZATION (LLC)

Use this form to establish a domestic limited liability company in the state of Pennsylvania. You should consult with an attorney while completing this form. If you complete the form yourself, type the entries or use black ink.

“PA Certificate of Organization (LLC) Step 1”

Make sure you provide a return address and name at the top of this form. The verified Certificate is returned to this address.

“PA Certificate of Organization (LLC) Step 2”

Provide the name of the limited liability company in section 1. The name needs to include one of the following designations: company, limited, limited liability company, or an appropriate abbreviation.

“PA Certificate of Organization (LLC) Step 3”

Enter the address of the limited liability company’s registered office in section 2a along with the county. In section 2b, list the name of the commercial registered office provider and the county.

“PA Certificate of Organization (LLC) Step 4”

List the name and address for each organizer in section 3. All of the organizers need to provide their signatures on page 2.

“PA Certificate of Organization (LLC) Step 5”

If either item does not apply to the limited liability company in section 4 or 5, strike out the words.

“PA Certificate of Organization (LLC) Step 6”

If the organizers want to delay the effective date of the limited liability company, provide a specific date in section 6. If you leave the line blank, the forms become effective once approved by the Department of State.

If the limited liability company offers professional services, describe the services in section 7. Strike out the words if inapplicable.

If additional provisions are required, attach separate sheets. All of the organizers need to sign the bottom of this form.

The filing fee for this form is $125. Make the check payable to Department of State. You’ll also want to attach the following forms:

· any necessary government approvals

· necessary copies of DSCB:17.2.3 (Consent to Appropriation of Name)

· copy of DSCB:15-134A (Docketing Statement)
