INSTRUCTIONS: ND PARTNERSHIP FICTITIOUS NAME CERTIFICATE

Use this form to register a fictitious name for a general partnership, limited partnership, limited liability partnership, or a limited liability limited partnership in North Dakota for the duration of five years or make an amendment within a current duration. Consult with an attorney before completing this form.

Indicate if the certificate is for a new registration or an amendment in item 2 of this form. Then, provide the fictitious name of the partnership in part 3. Make sure an LP, LLP, or LLLP’s name meets criteria for fictitious name indicated in the form’s instructions.

Distinguish the type of partnership in item 4. If the partnership is an LP, LLP, or LLLP, give the correct name in item 5.

Provide the partnership’s federal identification number in item 6. Next, provide the street address of the partnership’s principal place of business in item 7. If the mailing address is different, provide the P.O. Box as well.

If the partnership is an LP, LLP, or LLLP, provide the state of organization in item 8. Then, list the telephone number for the principal place of business in item 9. If the partnership has a toll-free number, provide this number in item 10.

State the names, mailing address, and social security number of the general partners in item 11. Attach a separate sheet if necessary. If any partners are a corporation or other business entity, they need to file under the Secretary of State before this form is filed.

Provide a brief description of the partnership’s type of business in item 12. One or more partners then need to sign the bottom of this form. Make sure to provide a name, email address, and daytime telephone number for correspondence.

The filing fee is $25.00 for the first two partners. For each additional partner, add $3 for each member. The maximum filing fee is $250 for a new certificate. An amendment is $25.00.
