INSTRUCTIONS: DDLC INCORPORATION PACKET (LLC)

Use this packet to form a limited liability company in New Mexico. Although the packet provides detailed instructions, you’re still encouraged to consult with an attorney.

“DDLC Incorporation Packet (LLC) Step 1”

State the name of the limited liability company in Article I. Make sure the name contains one of the following designations: limited liability company, limited company, L.L.C., LLC, L.C., or LC.

“DDLC Incorporation Packet (LLC) Step 2”

Enter a date in Article II if the limited liability is expected to dissolve in the future. Leave the Article blank if the LLC is perpetual.

“DDLC Incorporation Packet (LLC) Step 3”

List the name of the registered agent, the street address for the registered office, and the street address of the LLC’s principal place of business in Article III. The registered agent must be a individual resident of the state or another business authorized to conduct business in the state.

If a manager is responsible for the management of the business, check the space in Article IV. If the management is vested in the members, leave the space blank.

“DDLC Incorporation Packet (LLC) Step 5”

Check the space in Article V if the company is a single member limited liability company. Leave the space blank otherwise.

“DDLC Incorporation Packet (LLC) Step 6”

List the effective date for the Articles of Organization in Article VI. Each organizer must sign their name at the bottom of the Articles. If more space is needed, attach a separate sheet.

“DDLC Incorporation Packet (LLC) Step 7”

If the LLC has elected an individual agent, the registered agent needs to complete the first two lines of the Statement of Acceptance. If the agent is a corporation the last two lines need completed.

“DDLC Incorporation Packet (LLC) Step 8”

The filing fee for this form is $50. If an additional copy is requested, there is an additional $25 for each requested copy. The fee can be paid by check or money order—made payable to New Mexico Public Regulation Commission.

Collect the original copy, a duplicate copy, and filing fee. Send the package to the following address:
