INSTRUCTIONS: ARTICLES OF INCORPORATION MBCA-6

These Articles of Incorporation meet the minimum requirements in filing for a corporation within the state of Maine. You’re encouraged to consult with an attorney while completing this form and additional forms.

“Articles of Incorporation MBCA-6 Step 1”

Provide the name of the corporation in Article I of this form. Make sure the corporation’s name has a designation required by the state.

Check the box in Article II only if the corporation offers professional services defined by 13 MRSA Chapter 22-A. If you check the box, describe the type of professional services on the line below.

Check the first box in Article III if the corporation’s clerk is a commercial clerk. If you check the first box, provide the CRA public number and the name of the commercial clerk on the line below. Check the second box if the corporation’s clerk is a noncommercial clerk. If so, provide their name, street address, and mailing address if different from the street address.

If there is only one class of shares, check the first box in Article V and provide the number of authorized shares. If there are two or more classes of shares, check the second box and attach a separate form that describes each class and series.

Check the first box in Article VI if there will be a board of directors. Check the second box if the corporation will be managed by the shareholders. If the corporation does have directors, check the appropriate boxes in Article VII.

Only check the box in Article VIII if the corporation has rights defined under 13-C MRSA §641. If there are additional Articles of Incorporation, attach a separate sheet and check the box in Article IX.

Each incorporator needs to print their name, provide their address, and sign their name in Article X.
