INSTRUCTIONS: ARTICLES OF ORGANIZATION LLC 5.5

This form is required when forming a limited liability company in the state of Illinois. The filing fee for this form is $500.

“Articles of Organization LLC 5.5 Step 1”

List the name of the limited liability company on the first line. The name of the limited liability needs one of the following designations within its name: Limited Liability Company, L.L.C., LLC. The name cannot contain any of the following words: Corporation, Corp., Incorporated, Inc., Ltd., Co., Limited Partnership, or L.P.

“Articles of Organization LLC 5.5 Step 2”

Provide the principal place of business where the limited liability company will engage in business on line 2. Provide a street address.

“Articles of Organization LLC 5.5 Step 3”

Indicate the effective date for the limited liability company in section 3. If you’re extending the effective date, it cannot extend past 60 days after the filing date.

“Articles of Organization LLC 5.5 Step 4”

Provide the name and street address in Illinois for the LLC’s registered agent in section 4.

“Articles of Organization LLC 5.5 Step 5”

Provide the purpose of the limited liability company in the first part of section 5. On the lines below, provide any additional addresses where the limited liability will conduct business. Provide an additional sheet if more information is needed.

“Articles of Organization LLC 5.5 Step 6”

If there is a projected date of dissolution for the limited liability company, provide the date in section 6. Otherwise, leave the section blank.

“Articles of Organization LLC 5.5 Step 7”

If there are other provisions, state them in section 7. In the next section, check the appropriate box and provide the names and address for the managers or member managers.

“Articles of Organization LLC 5.5 Step 8”

The organizers of this form need to provide their signature printed name, and address at the bottom of this form.

“Articles of Organization LLC 5.5 Step 9”

Make a copy of the completed form and any additional sheets. Provide a filing fee by check, attorney’s check, C.P.A’s check or money order made payable to Secretary of State. Mail the forms and filing fee to the following address:
