INSTRUCTIONS: ARTICLES OF AMENDMENT NFP-110.30

A corporation in the state of Illinois can use this form to amend the original Article of Organization. The filing fee for this form is $25.

“Articles of Amendment NFP-110.30 Step 1”

Enter then corporate name in section 1 exactly as it appears under the Secretary of State. If you’re amending the name of the corporation, do not write the amended name on this line.

“Articles of Amendment NFP-110.30 Step 2”

Provide the date including month, day and year when the amendments were adopted by the corporation in section 2. Then, check the appropriate box. Directors can only check box 1 if the corporation has no members or the members are not entitled to vote.

“Articles of Amendment NFP-110.30 Step 3”

Select box 2 in section 2 if director approval was in writing without a meeting or a vote occurred in a special or annual director’s meeting.

Select box 3 in section 2 if there was a two-thirds vote or more by outstanding members for the amendment. Read the Note 4 at the end of this form for more information on box 3.

If box 4 was checked in section 2, there must be written consent and members needed to receive notice of the proposed amendment at least 5 days before the consent form was signed. If members did not sign, they need notified if the amendments are still adopted.

If the corporation is changing its name, enter the new name under part (a) of section 3. Provide all other changes within part (b) of section 3. You can attach additional sheets if more space is necessary.

An authorized officer should sign their name, print their name, and provide a date of signature at the bottom of this form. If there is no authorized officer, designated persons needs to provide the signature, printed name, and title in section 5.
