INSTRUCTIONS: ARTICLES OF ORGANIZATION (LLC)

This form represents the minimum requirements for establishing a limited liability company in the state of Florida. If you need additional help with this form, you’re encouraged to hire an attorney.

“Articles of Organization (LLC) Step 1”

Provide the name of the limited liability company in Article I of this form. The LLC’s name needs to end in “Limited Liability Company” or the abbreviation “L.L.C.” or “LLC.”

“Articles of Organization (LLC) Step 2”

Provide the street address and mailing address for limited liability company’s address in Article II.

“Articles of Organization (LLC) Step 3”

State the name and street address for the registered agent in Article III. The registered agent also needs to sign the bottom of page 1 indicating they understand the responsibilities of the position.

“Articles of Organization (LLC) Step 4”

Provide the name and address for each manager or managing member in Article IV. State the title next to the name. If the person is a managing member, include “MGRM.” If the person is a manager, include “MGR.”

“Articles of Organization (LLC) Step 5”

Fill out Article V if the limited liability company wants to postpone the effective date. If a date is listed, it cannot be more than 90 days after the date of filing. The limited liability company can also request an effective date up to 5 days before the date of receipt.

“Articles of Organization (LLC) Step 6”

The bottom of the form needs signed by a member of the limited liability company or an authorized representative appointed by the LLC. The signatory needs to provide their printed name below the signature.

“Articles of Organization (LLC) Step 7”

The filer needs to complete the cover letter as well. Make sure to provide the name of the LLC at the top of the cover letter. Provide a name, address, email address, and telephone number for correspondence. Check the appropriate box at the bottom of the form as well. The minimum filing fee is $125.00. Make all checks payable to the Florida Department of State.
