This form is used to establish a limited partnership in the state of Colorado. This specific form is only a sample, and the formal documents can be found under the state’s Secretary of State Website. “Certificate of Limited Partnership (Sample) Step 1”

Provide the name of the limited partnership on the first line of the form. The name must have the term “limited partnership,” “limited,” “company,” “L.P.,” “LP,” “Ltd.,” or “Co.” Regard §7-90-601, C.R.S. for more information.

Provide the principal office address for the limited partnership in part 2. If the mailing address is different from the street address, provide the mailing address as well. Otherwise, leave the mailing address blank.

Provide the name of the registered agent or entity for the limited partnership in part 3. You cannot have an individual registered agent and entity acting in the same position. Provide the registered agent’s street address and mailing address if different.

Provide the name for each general partner in part four. Provide their mailing address as well. If there is one or more general partners, check the box in part 4 and attach a separate sheet listing the name and mailing addresses.
