INSTRUCTIONS: ARTICLES OF INCORPORATION FOR A PROFIT CORPORATION (Sample)

This form is a sample and cannot be submitted electronically or by mail. Applicants need to hire an attorney to help them with this form. Regard §7-102-101 and §7-102-102 of the Colorado Revised Statutes for more information.

“Articles of Incorporation for a Profit Corporation (Sample) Step 1”

In part 1, provide the name of the domestic corporation. The name needs to contain the word “Corporation,” “Incorporated,” “Company,” “Limited,” or any of the following abbreviations: “Corp.,” “Inc,” “Co.,” or “Ltd.”

“Articles of Incorporation for a Profit Corporation (Sample) Step 2”

Provide the principal office address for the corporation in 2. Provide the street address. If the mailing address is different from the street address, provide the second address as well.

“Articles of Incorporation for a Profit Corporation (Sample) Step 3”

Provide the name of the registered agent in part 3. If the registered agent is an entity, provide the entity’s name. Do not provide the name of an individual and the name of an entity. Provide the street address and mailing address of the individual or entity if the mailing address is different.

“Articles of Incorporation for a Profit Corporation (Sample) Step 4”

Provide the names and mailing address of the incorporators in part 4. If the incorporators are entities, do not provide the names of individuals. If the new corporation has more than one incorporator, check the appropriate box and attach a list of the names and mailing address.

At least one box in part 5 needs checked. Check the first box if the corporation is allowed to issue a certain number of common shares with unlimited voting rights. If additional information about the shares is needed, check the second box and attach a separate sheet. Check the box in part 6 if additional information is needed.

“Articles of Incorporation for a Profit Corporation (Sample) Step 6”

If the formation of the corporation has a delayed effective date, include the date and time of the delayed date in part 7. If there is no delay, leave this part blank.

“Articles of Incorporation for a Profit Corporation (Sample) Step 7”

Part 8 requires information about the person delivering this form. All incorporators will have to sign the bottom of this form and provide information for about their attorney as well.
