INSTRUCTIONS: AL CERTIFICATE OF LIMITED PARTNERSHIP

This form is used to form a Limited Partnership in the state of Alabama. The first lines of the form are optional and state an effective time and delayed effective date for delivery of the record.

“AL Certificate of Limited Partnership Step 1”

Write the name of the Limited Partnership in the first part of the form. The name of the Limited Partnership must contain the words “Limited Partnership,” the word “Limited,” or one of the following abbreviations: LP, L.P., or Ltd.

“AL Certificate of Limited Partnership Step 2”

Provide the physical street address of the office for the Limited Partnership in part 2. Indicate the county where the county is located in the line below the street address lines. If the Limited partnership has a separate mailing address, provide this address on the last lines of part 2.

“AL Certificate of Limited Partnership Step 3”

Provide the full name of the Registered Agent for the Limited Partnership on the first line in part 3. In the next two lines, provide the street address of the Registered Agent including city, state, and zip code. If the Registered Agent has a mailing address that is different from the street address, provide the address on the last two lines of part 3.

“AL Certificate of Limited Partnership Step 4”

Part 4 does not require anything. The section acts as a statement from all general partners stating they’ve agreed to a Partnership and not a Limited Liability Limited Partnership.

“AL Certificate of Limited Partnership Step 5”

Provide the names, streets address, and mailing addresses (if applicable) of all the general partners in the Limited Partnership on the second page of this form. If additional room is needed for more general partners, make a copy of the blank document of the second page and list the additional information. All general partners need to provide their signatures below their information.

“AL Certificate of Limited Partnership Step 6”

Two originals of this form are required in forming a Limited Partnership. The signed originals need mailed to the Judge of Probate in the county the Limited Partnership operates their office. The filing fee for this form is $100.00. The check or money order needs made payable to the Secretary of State.
